These Terms & Conditions of Use ("Terms") govern your access to and use of the Football Manager 365 platform ("Football Manager 365", "FM365", "Platform", "we", "us", or "our").

By registering for, accessing, or using Football Manager 365, you agree to these Terms.

If you are accessing Football Manager 365 on behalf of a football club, sporting organisation, association, school, business, or other entity ("Organisation"), you confirm that you have authority to accept these Terms on behalf of that Organisation.

If you do not agree to these Terms, you must not use Football Manager 365.

Football Manager 365 is a software-as-a-service platform designed to assist football clubs and organisations with the management of their football operations.

The Platform may include functionality for:

• Clubs, seasons, teams and age groups.
• Player registration and profiles.
• Staff profiles and team assignments.
• Fixtures, results and match statistics.
• Training and match attendance.
• Announcements, chat and notifications.
• Club and player documents.
• Team sheets and reports.
• Player assessments and development cycles.
• Development plans and player goals.
• Player development reports.
• Progression timelines and rating history.
• Technical development dashboards.
• Development analytics.
• Live match management.
• Season offers, retrials and re-registration.
• Talent reports.
• Talent pools and watchlists.
• Recruitment, trials and expressions of interest.
• Player comparison.
• Squad and pathway planning.
• Club-wide technical analytics.
• Other football management, development, administration and reporting functionality.

Features available to an Organisation may vary depending on its subscription, package, configuration, or features enabled by Football Manager 365.

We reserve the right to introduce, modify, suspend, restrict or discontinue features from time to time.

By creating an account, accessing, or using Football Manager 365, you acknowledge that you have read and accepted these Terms.

If you are using the Platform on behalf of an Organisation, you represent that you have authority to bind that Organisation to these Terms.

These Terms apply to all users of Football Manager 365, including:

• Club administrators.
• Club owners.
• Directors.
• Coaches.
• Technical directors.
• Managers.
• Staff.
• Players.
• Parents and guardians.
• Volunteers.
• Scouts.
• Other authorised users.

Users are responsible for maintaining the confidentiality and security of their account credentials.

You must:

• Keep your password secure.
• Not share your login credentials.
• Provide accurate information.
• Maintain accurate information where you are responsible for doing so.
• Notify Football Manager 365 if you believe your account has been compromised.
• Only access information that you are authorised to access.

Organisation administrators are responsible for managing users, permissions and access within their Organisation.

You must use Football Manager 365 lawfully and responsibly.

You must not:

• Use the Platform for unlawful, fraudulent, abusive or malicious purposes.
• Attempt to gain unauthorised access to another account or Organisation.
• Attempt to bypass security or permission controls.
• Attempt to access information belonging to another Organisation.
• Upload malicious software or harmful code.
• Interfere with the operation of the Platform.
• Attempt to reverse engineer or extract source code except where permitted by law.
• Use automated systems to abuse, overload or disrupt the Platform.
• Upload content that is unlawful, defamatory, threatening, discriminatory, abusive or otherwise inappropriate.
• Upload content that infringes another person's intellectual property, privacy or other legal rights.

We may suspend or restrict accounts where we reasonably believe these Terms have been breached.

"Organisation Data" means information entered, uploaded, submitted, generated or otherwise provided to Football Manager 365 by an Organisation or its authorised users.

Organisation Data may include:

• Player information.
• Parent and guardian information.
• Staff information.
• Registration information.
• Attendance information.
• Match information.
• Player statistics.
• Development assessments.
• Player goals.
• Development plans.
• Documents.
• Images and media.
• Communications.
• Reports.
• Analytics.
• Other information entered into the Platform.

The Organisation remains responsible for the accuracy, legality and appropriateness of Organisation Data.

Organisations may use Football Manager 365 to manage personal information relating to players, parents, guardians, coaches, staff and other individuals.

The Organisation is responsible for ensuring that it has the appropriate authority, consent or other lawful basis required to collect, upload and process personal information through Football Manager 365.

Organisations must comply with all applicable privacy, data protection, child protection, safeguarding and other relevant laws.

Football Manager 365 may be used to manage information relating to children and young people.

Organisations are responsible for ensuring they have the appropriate authority and lawful basis to collect and process information relating to children.

Organisations must maintain appropriate safeguarding procedures and ensure sensitive information is only accessible to authorised individuals.

Football Manager 365 is a software platform and does not replace the Organisation's safeguarding responsibilities.

Football Manager 365 takes data security seriously.

We will do our best to protect information stored and processed through the Platform and will use reasonable technical and organisational measures designed to protect information against unauthorised access, loss, misuse, alteration, disclosure or destruction.

These measures may include:

• Access controls.
• Authentication.
• Role-based permissions.
• Encryption where appropriate.
• Secure hosting infrastructure.
• Monitoring and logging.
• Security updates.
• Backups and recovery procedures.
• Administrative access controls.

However, no online service or electronic storage system can be guaranteed to be completely secure.

Accordingly, while Football Manager 365 will use reasonable efforts and do its best to protect data, we do not guarantee that the Platform will be completely secure or free from security vulnerabilities, cyberattacks, unauthorised access, data loss or other security incidents.

Users and Organisations are also responsible for maintaining appropriate security practices.

Football Manager 365 does not store full credit card or debit card details on its own systems.

Where payment functionality is provided, payments may be processed through an external payment service provider.

Payment card information is handled by the relevant payment provider in accordance with its own terms, privacy policy and security requirements.

Football Manager 365 does not intentionally store full credit card numbers or CVV/CVC security codes.

We may receive limited payment-related information from a payment provider, such as:

• Transaction identifier.
• Payment status.
• Payment amount.
• Transaction date.
• Card type.
• Masked card information.

Football Manager 365 is not responsible for the systems, security or availability of third-party payment providers.

The Organisation retains ownership of its Organisation Data, subject to the rights required by Football Manager 365 to provide the Platform.

By using Football Manager 365, you grant us a limited, non-exclusive right to host, store, process, transmit and display Organisation Data as reasonably necessary to:

• Provide the Platform.
• Provide requested functionality.
• Maintain and operate the Platform.
• Provide customer support.
• Generate reports and analytics for the Organisation.
• Maintain backups.
• Prevent fraud and abuse.
• Maintain security.
• Comply with legal obligations.

Football Manager 365 will not sell Organisation Data as a standalone product to third parties.

Football Manager 365 and its underlying technology, software, code, design, branding, interfaces, documentation, functionality and intellectual property are owned by or licensed to Football Manager 365.

Nothing in these Terms transfers ownership of Football Manager 365 intellectual property to you.

You must not, except where expressly permitted by law or with our written permission:

• Copy the Platform.
• Reproduce the Platform.
• Modify the Platform.
• Reverse engineer the Platform.
• Extract source code.
• Create derivative works.
• Resell the Platform.
• Commercially exploit the Platform outside your authorised use.

We will use reasonable efforts to maintain the availability of Football Manager 365.

The Platform may occasionally be unavailable due to:

• Scheduled maintenance.
• Emergency maintenance.
• Software updates.
• Infrastructure failures.
• Internet failures.
• Third-party service failures.
• Cybersecurity incidents.
• Events outside our reasonable control.

We do not guarantee uninterrupted or error-free availability.

Football Manager 365 may maintain backups as part of its operational and disaster recovery processes.

Backups are intended to assist with recovery in the event of system failure or data loss.

However, backups do not constitute an absolute guarantee that all information can always be recovered.

Organisations should maintain their own copies of critical information where appropriate.

Features may be enabled or disabled for individual Organisations.

Football Manager 365 may offer different subscription plans, packages, feature sets and add-ons.

We may:

• Add features.
• Remove features.
• Modify features.
• Change feature availability.
• Introduce new subscription packages.
• Retire features.
• Restrict features to particular subscription levels.

Disabling a feature does not necessarily mean that the associated Organisation Data will be deleted.

Where technically supported, data may remain stored while a feature is disabled and become available again if that feature is subsequently enabled.

Football Manager 365 may integrate with third-party services, including payment providers, email providers, SMS providers, cloud infrastructure, authentication providers, sporting organisations and other software services.

Third-party services may operate under their own terms and privacy policies.

Football Manager 365 is not responsible for failures, outages, security incidents or changes originating from third-party services outside our reasonable control.

Where Football Manager 365 is provided on a paid subscription basis:

• Fees will be communicated before purchase or renewal.
• Fees must be paid in accordance with the applicable billing arrangements.
• Features may depend on the applicable subscription.
• Taxes may apply.
• Access may be suspended for overdue payments, subject to applicable law.

Separate commercial agreements may contain additional terms that apply to a particular Organisation.

Football Manager 365 may suspend or terminate access where:

• These Terms are materially breached.
• The Platform is used unlawfully.
• The Platform is abused or attacked.
• There is a significant security risk.
• Suspension is necessary to protect users or the Platform.
• Fees remain unpaid.
• We are legally required to do so.

Where reasonably practicable, we will provide notice before suspension or termination.

Following termination, Organisation Data may be retained for a reasonable period in accordance with our data retention, backup, security and legal requirements.

Subject to applicable law and any applicable commercial agreement, an Organisation may request an export of its data within a reasonable period following termination.

Following the applicable retention period, information may be deleted or anonymised.

Information, reports, analytics, ratings, assessments and recommendations generated through Football Manager 365 are provided as tools to assist football organisations.

They do not constitute:

• Medical advice.
• Legal advice.
• Financial advice.
• Safeguarding advice.
• Psychological advice.
• Professional scouting advice.
• Guaranteed player performance predictions.
• Guaranteed player development outcomes.

Organisations and users remain responsible for decisions made using information generated through the Platform.

The Organisation and its users are responsible for their use of Football Manager 365.

This includes responsibility for:

• Information entered into the Platform.
• User permissions.
• Player information.
• Communications.
• Documents.
• Assessments.
• Ratings.
• Reports.
• Decisions made using Platform information.
• Compliance with applicable laws.
• Safeguarding responsibilities.
• Obtaining required consent or authority.

Football Manager 365 does not control how an Organisation manages its players, staff or football operations.

To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless Football Manager 365 and its owners, founders, directors, officers, employees, contractors, consultants, agents, representatives, affiliates, licensors, service providers and other persons or entities involved in the ownership, operation, development, maintenance or provision of Football Manager 365 (collectively, the "FM365 Parties") from and against claims, demands, actions, proceedings, liabilities, losses, damages, costs and reasonable legal expenses arising out of or relating to:

• Your breach of these Terms.
• Your misuse of Football Manager 365.
• Your violation of applicable law.
• Your violation of another person's rights.
• Organisation Data that you upload, submit, transmit or otherwise provide.
• Your failure to obtain appropriate consent, authority or lawful basis to provide personal information.
• Your use of player, staff, parent, guardian or other personal information through the Platform.
• Your communications or content submitted through Football Manager 365.
• Your decisions, actions or omissions arising from your use of information, reports, analytics or other functionality provided by Football Manager 365.
• Claims brought by players, parents, guardians, staff, coaches, clubs, associations or other third parties arising from your use of the Platform.

This indemnity applies to claims arising from your acts, omissions, negligence, misuse or breach of these Terms.

You agree to reasonably cooperate with the FM365 Parties in the defence of any claim covered by this indemnity.

We will not settle a claim in a manner that imposes a material obligation or admission of liability on you without your consent, where such consent is reasonably required.

To the maximum extent permitted by law, you release the FM365 Parties from claims arising from matters that are within your responsibility under these Terms, including claims arising from:

• Information supplied by you or your Organisation.
• Decisions made by you or your Organisation.
• User-generated content.
• Player assessments or ratings.
• Football development decisions.
• Recruitment decisions.
• Team selection decisions.
• Communications between users.
• Your failure to maintain appropriate user permissions.
• Your failure to obtain appropriate consent or authority.
• Your use of third-party services.

Nothing in these Terms excludes liability that cannot legally be excluded.

To the maximum extent permitted by applicable law, the FM365 Parties will not be liable for indirect, incidental, special, consequential or unforeseeable loss arising from your use of Football Manager 365.

This may include loss of:

• Revenue.
• Profits.
• Business opportunities.
• Reputation.
• Anticipated savings.
• Player opportunities.
• Sporting outcomes.
• Data, subject to applicable law.

To the maximum extent permitted by law, the aggregate liability of the FM365 Parties arising from or relating to your use of Football Manager 365 will be limited to the amount paid by the relevant Organisation to Football Manager 365 for the Platform during the applicable period preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded.

Football Manager 365 does not guarantee:

• Player development.
• Player selection.
• Player progression.
• Recruitment outcomes.
• Player retention.
• Team performance.
• Competition results.
• Player contracts.
• Professional opportunities.
• Scholarships.
• Trials.
• Transfers.
• Scouting outcomes.
• Sporting success.

Any projections, ratings, analytics or recommendations provided through the Platform are tools to assist users and should not be treated as guarantees.

Football Manager 365 will not be responsible for failure or delay caused by circumstances outside its reasonable control.

These circumstances may include:

• Natural disasters.
• Fire.
• Flood.
• War.
• Terrorism.
• Government action.
• Industrial disputes.
• Internet infrastructure failures.
• Telecommunications failures.
• Major cybersecurity incidents.
• Cloud infrastructure failures.
• Third-party service outages.
• Other events beyond our reasonable control.

We may update these Terms from time to time.

Where material changes are made, we may provide reasonable notice through the Platform, email or other appropriate means.

Continued use of Football Manager 365 following the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

Unless otherwise agreed in writing, these Terms are governed by the laws of Victoria, Australia.

The parties submit to the jurisdiction of the courts of Victoria, Australia, subject to any mandatory rights or protections that cannot legally be excluded.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

The remaining provisions will continue in full force and effect.

These Terms, together with any applicable subscription agreement, order form, privacy policy and other documents expressly incorporated into these Terms, constitute the agreement between you and Football Manager 365 regarding your use of the Platform.

If there is an inconsistency between these Terms and a separately signed commercial agreement, the separately signed agreement will prevail to the extent of the inconsistency.

By registering for, accessing or using Football Manager 365, you acknowledge that you have read, understood and agree to these Terms & Conditions of Use.
